Welcome to Diskus, a platform developed by Axis Digital Limited ("Diskus", "we", "us") to streamline board meetings, compliance workflows, and organizational governance. These Terms and Conditions ("Agreement") govern your use of Diskus, including its web and mobile applications (the "Service"). By accessing, registering, or using the Service, you agree to be bound by this Agreement.

This Agreement is a legally binding contract between you (an individual or organization) and Axis Digital Limited. It applies to all users, including Owners (account administrators who create and manage organizations), Members (users invited by Owners to participate in an organization), and users accessing the Service under a trial or Proof of Concept. If you accept this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree to these terms or lack authority, you must not use the Service.

To access the Service, you must register an account and provide accurate and complete information. Owners may create one or more Organizations and assign Member roles with defined access levels. You are responsible for all activities conducted under your account and Organization, including those performed by invited Members, employees, agents, or third parties. You agree to maintain the confidentiality of your access credentials and immediately inform Diskus of any unauthorized access or suspicious activity. You also agree to keep your account and billing information up to date at all times.

You and your Organization retain all rights and ownership over any documents, content, or data you submit to the Service ("Organization Data"). Diskus does not access, view, or use the contents of your uploaded documents, communications, or materials except in the limited context of automated processing to deliver core functionalities (e.g., search, reminders, or generating AI-based features) without human intervention. No Diskus personnel will access your Organization Data unless explicitly authorized by you for technical support or troubleshooting purposes.

Diskus uses end-to-end encryption and other industry-standard security practices to ensure your data remains private and protected at all times. Your Organization Data is not used for advertising, external analysis, or shared with third parties beyond authorized sub-processors bound by confidentiality and data protection obligations.

Diskus staff may access this data strictly as required to operate or troubleshoot the Service, and all such access will be logged and subject to confidentiality obligations. We do not use your Organization Data for advertising or unrelated commercial purposes, and we implement appropriate technical and organizational safeguards to ensure its security.

Diskus processes personal data in compliance with applicable data protection regulations, including the General Data Protection Regulation (GDPR). Depending on the context, Diskus may act as a data processor (processing data on your behalf) or a data controller (when handling platform analytics or diagnostics). By using the Service, you consent to the processing of personal data, which may include international transfers and the use of sub-processors. Diskus ensures that all sub-processors are bound by data protection obligations equivalent to those under this Agreement. Upon request, a Data Processing Addendum (DPA) detailing categories of data, data subject types, and security practices will be provided. Diskus will notify you promptly in the event of any data breach that may affect your Organization Data.

Through the use of the Service, you may be exposed to confidential and proprietary information of Diskus or other users. You agree to maintain the confidentiality of all non-public information, including product documentation, business processes, pricing, user content, and system architecture. You may not disclose such information to any third party without prior written consent. This obligation continues for ten (10) years following the termination or expiration of this Agreement.

You agree not to circumvent, bypass, or engage directly with any stakeholder introduced through the Diskus platform for purposes such as business partnerships, collaborations, or commercial deals, without the written permission of Axis Digital Limited.

Diskus and all associated content, technology, and intellectual property, including software, interface, logos, brand elements, and documentation are the exclusive property of Axis Digital Limited. You are granted a limited, non-exclusive, non-transferable license to access and use the Service during the term of this Agreement. You may not copy, distribute, reverse-engineer, modify, or create derivative works based on the Service, unless specifically authorized in writing.

You agree not to use the Service to engage in activities that are illegal, disruptive, or violate the rights of others. This includes but is not limited to uploading malware, transmitting unauthorized content, distributing spam, or infringing intellectual property. You may not resell, lease, sublicense, or commercially exploit any part of the Service. Diskus reserves the right to access, monitor, or remove any content deemed to be in violation of these terms.

Diskus may integrate or interoperate with third-party tools and services to enhance functionality. Diskus does not control these external providers and is not responsible for their performance, availability, or security. Your use of third-party tools is at your own risk and governed by the respective provider’s terms of service.

Access to the Service is subject to payment under selected pricing plans, except during the free trial period (if offered). You agree to pay all applicable fees in advance for each billing cycle. Diskus may issue invoices or charge your registered payment method directly. Fees are exclusive of applicable taxes, and overdue payments may incur interest. Adjustments due to plan upgrades, downgrades, or user changes will be billed on a prorated basis. Refunds are not provided except where legally mandated.

Diskus offers email-based technical support to users subscribed under a paid plan. Our goal is to respond to support queries within two (2) business days. Additional support tiers or dedicated account management may be offered under enterprise agreements.

Diskus reserves the right to update or revise this Agreement from time to time. Notice of significant changes will be published on our website or communicated via email. Continued use of the Service after modifications constitutes acceptance of the revised terms.

This Agreement remains in effect unless terminated by either party. You may terminate your account at any time through your administrative dashboard or by written notice. Diskus may terminate or suspend your access immediately in the event of a material breach, misuse, legal obligation, or risk to platform integrity. Upon termination, your access to the Service will cease, and Diskus may delete your data unless retention is required by law. You are responsible for any outstanding payments through the date of termination.

The Service is provided "as is" without warranties of any kind. Diskus does not guarantee uninterrupted access, error-free operation, or complete accuracy. In no event shall Diskus be liable for indirect, incidental, or consequential damages, including but not limited to lost profits or data. Total liability is limited to the greater of USD 10 or the fees paid in the two months preceding the event giving rise to the claim.

You agree to indemnify and defend Axis Digital Limited and its affiliates from any claims, damages, or liabilities arising out of your use of the Service, breach of this Agreement, or violation of any law or rights of third parties. Diskus will notify you of such claims and may assume exclusive defense and control where appropriate.

You agree to comply with all applicable export and import control laws. The Service may not be used, exported, or re-exported in violation of applicable laws. If accessed by a U.S. Government agency, use shall be governed by customary rights provided to the public.

You may not assign or transfer this Agreement without prior written consent from Diskus. Any attempted assignment in violation of this clause shall be null and void. Diskus may assign this Agreement in connection with a merger, acquisition, or sale of assets.

This Agreement shall be governed by the laws of the United Arab Emirates. Any dispute, controversy, or claim arising out of or in connection with this Agreement shall be resolved by binding arbitration under the UAE Judiciary Rules. The arbitration shall be conducted in English and held in Dubai, UAE. Both parties agree to waive class action rights and bring claims solely in their individual capacity.
